Milan, 28 March 2017 – Pedersoli Studio Legale, represented by Maura Magioncalda (Equity Partner) and Consuelo Citterio (Partner), has advised Banca IMI S.p.A. and Intesa Sanpaolo S.p.A. in the financing granted to Liu Jo S.p.A., a leading company in clothing and luxury goods sector, instrumental to the reorganisation of the group’s corporate and financial structure, which resulted in the consolidation of the role of the majority shareholder, Mauro Macchi, and the substantial resignation from the board of directors of Vannis Marchi, still holding a company shareholding of about 10%.
The transaction, in an overall value of approximately 130 million Euro, has the purpose of creating the best conditions to develop and implement business activity through a process increasingly involving the internationalisation of the brand and the execution of extraordinary transactions potentially involving private and institutional investors.
The company and the founding shareholder Marco Marchi have been advised by Antonio Tullio at Tullio & Partners in Modena, while Ernst & Young has acted as financial advisor of the transaction.
