Milan, 6 July 2018 – Pedersoli Studio Legale has advised Enel group in the preliminary agreement with F2i SGR, for the sale of the entire portfolio of biomass electricity production plants in Italy, with a total net installed capacity of approximately 108 MW.
The sale involves the currently operating plants of Mercure and Finale Emilia, respectively located in the Italian regions of Calabria and Emilia Romagna, 50% of Powercrop – the corresponding joint venture Enel Maccaferri – owning the plants under construction of Russi and Macchiareddu, respectively located in the Italian regions of Emilia Romagna and Sardinia, and the project to build the plant of Casei Gerola, in the Italian region of Lombardy, which is going to obtain the relevant authorisation.
Pedersoli team, composed of Antonio Pedersoli (Equity Partner), Luca Saraceni (Partner) and Jean-Daniel Regna-Gladin (Counsel) as to Corporate M&A aspects, including Sergio Fienga (Equity Partner) and Alessandro Zuccaro (Associate) as to Energy and Administrative Law matters, has supported the in-house team of Enel composed of the legal counsels Armando Alessandro Monaco (Head of M&A Legal Affairs), Valentina Angelucci (Senior Lawyer M&A), Teodoro Matteis (Operation and Plants Manager), William Hartert (Head of Legal and Corporate Affairs Renewable Energies Africa, M&A, Business Development and Innovation) and Andrea Brun (Senior Lawyer Renewables).
F2i has been advised by Chiomenti with a team composed of Giulia Battaglia and Luca Andrea Frignani (both Partners), Antonio Meli (Senior Associate) and Katia Zulberti (Senior Attorney), while CBA law firm has provided assistance in relation to all tax aspects of the transaction, from the due diligence on the target plants to the structuring of the transaction itself including tax issues of the sale and purchase agreements with a team composed of Angelo Bonissoni (Managing Partner), Michele Citarella (Partner) and Roberto Commodari (Associate).
The completion of the transaction is subject to the obtainment of the authorisations by the competent authorities.
