Pedersoli and Nctm in the agreements for the acquisition of Calligaris by Alpha

Milan, 3 August 2018 – Pedersoli Studio Legale has advised Alpha Private Equity Fund 7 in relation to the agreement for the acquisition of Calligaris S.p.A., a leading company in the global market of high quality living & dining furniture, from Calligaris family. The execution of the acquisition, subject to provisions of law and customary activities provided for in relation to this specific transactions, is expected in Autumn.

The transaction includes a reinvestment by Calligaris family, which will continue to hold a shareholding of 20% in the group. Also De Marchi family, founder of Ditre brand acquired by Calligaris group in 2017, will reinvest in the group holding a minority shareholding.

Pedersoli has acted with a multidisciplinary team composed of Carlo Re (Equity Partner), Stefano Milanesi (Counsel) and Melissa Pace (Associate) as to corporate M&A matters, by Maura Magioncalda (Equity Partner), Consuelo Citterio (Partner) and Nicola Nocerino and Giulia Lucchini (both Associates) as to finance aspects, while Davide Cacchioli (Equity Partner) and Alessandro Bardanzellu (Partner) have managed antitrust issues. Gattai, Minoli, Agostinelli & Partners, with Cristiano Garbarini (Partner) and Valentina Buzzi (Senior Associate), has advised Alpha in the structuring and tax aspects of the transaction. Deloitte, Bain & Company and Essentia Advisory have acted as advisors of the fund.

Calligaris family has been advised by Nctm Studio Legale as to the Italian aspects of the transaction and by Studio EHP in relation to Luxembourg law issues of reinvestment. Nctm team advising on corporate M&A matters is composed of Riccardo Papetti, Laura Cinquini and Mario Bonferroni. Giovanni de’ Capitani di Vimercate has provided assistance in relation to finance issues and Barbara Aloisi, with Irene Aquili, has managed tax issues.
