Pedersoli and GOP in the acquisition of “bio” activities of Mossi & Ghisolfi Group by Versalis

Milan, 26 September 2018 – Versalis, the Eni chemical company internationally operating in the sectors of basic chemicals, plastics, rubbers and bio-based chemical industry, has won the bidding process ordered by the Court of Alessandria in relation to the “bio” activities of Mossi & Ghisolfi Group.

The deed of transfer of the relevant branches will be entered into in the forthcoming weeks, pursuant to the terms and conditions of law. The transaction includes assets and resources concerning development activities, industrialisation, licensing of technologies and bio-chemical processes based on the use of renewable resources, particularly biomass, of the four companies Biochemtex, Beta Renewables, IPB (Italian Bio Products) and IPB Energia.

This complex restructuring transaction has a specific insolvency nature, since a unique competitive bidding has been ordered and it was aimed at transferring the business of the four companies, which represented the addressees of a single purchase offer submitted by Versalis S.p.A..

Mossi & Ghisolfi Group (i.e. the said four companies) has been advised by Gianni, Origoni, Grippo, Cappelli & Partners, with a multidisciplinary team led by Alberto Nanni (Partner) and composed of Luca Jeantet and Gabriella Covino (Partners) as to insolvency and restructuring aspects, Antonella Capria (Partner) as to administrative and environmental issues, involving Matia B. Maggioni, Paola Vallino and Daniela Amhof (Associates).
