The law firms supporting Ambienta Sgr in the acquisition of Nactis Flavours

Milan, 13 January 2020 – Pedersoli Studio Legale, De Pardieu Brocas Maffei, Studio Legale Tributario Facchini Rossi Michelutti and Mayer Brown have advised Ambienta Sgr in the acquisition of 100% Nactis Flavours, a leading company in the French and Belgian market for the production and distribution of aromatic raw materials, ingredients and flavours for the food and beverage industry.

The acquisition, executed last December, falls within the buy-and-build project launched by Ambienta Sgr with the acquisition of AromataGroup in 2018 and developed over 2019 with the acquisition, by this latter, of Ipam. The project is aimed at creating a leading group in the natural food ingredients for food SMEs all over Europe.

As a result of the acquisition of Nactis Flavours, the group, which will be named Nactarome, has a turnover of more than 100 million Euro and over 4,000 customers.

In the acquisition, Ambienta Sgr has been supported by Pedersoli Studio Legale with a team led by Alessandro Marena (Equity Partner) including Elisa Bertoni and Edoardo Bononi (Associates). The law firm has acted with De Pardieu Brocas Maffei represented by Cedric Chanas (Partner), Rodrigue Tchouale and Nelly Achille (Associates).

Tax aspects of the transaction have been managed by Studio Legale Tributario Facchini Rossi Michelutti with a team composed of Luca Rossi and Giancarlo Lapecorella (Partners) and Marco Luigi Belloni (Associate). The law firm has acted with Mayer Brown as to French tax matters.

The sellers have been advised by Bignon Lebray represented by Jacques Goyet (Partner) and Louis Vallet (Associate) including Pirola Pennuto Zei & Associati represented by Massimo Di Terlizzi (Partner) and Fabrizio De Luca (Junior Partner).
