Pedersoli and Allen & Overy in the entry of Fondo Italiano d’Investimento in Fonderie di Montorso

Milan, 20 December 2018 – Pedersoli Studio Legale, with a team led by Alessandro Marena (Equity Partner), and Allen & Overy, with a team led by Paolo Ghiglione (Partner), have respectively advised the purchaser and the sellers in the acquisition by Fondo Italiano d’Investimento SGR, for and on behalf of Fondo Innovazione e Sviluppo, of a shareholding equal to 70% share capital of Fonderie di Montorso S.p.A., a leading company in the sector of precision components for hydraulic systems, based in Montorso Vicentino.

Founded in 1962, the company currently has two facilities in the Italian territory, one in the province of Vicenza and the other in the province of Bologna, hiring over 400 employees and having an expected turnover in 2018 exceeding 90 million Euro, accrued by a client portfolio, represented by leading multinational entities in different outlet sectors. Taken over in 2010 by Patrizia Comello, managing director of the company, and its family, Fonderie di Montorso has started a process of internal investments and growth through external channels.

The investment by Fondo Innovazione e Sviluppo has the purpose of continuing the growing path already started, aimed at consolidating the Group on a domestic and international basis.

Fondo Italiano d’Investimento has been advised by Studio Pirola Pennuto Zei & Associati as to tax aspects of the transaction, represented by Fabio Oneglia (Partner).

Allen & Overy team advising the sellers, involved Paolo Ghiglione (Partner), Chiara De Luca (Associate) and the labour team with Livio Bossotto (Counsel) and Claudio Chiarella (Associate).

Pedersoli and the shareholders of FIMEI S.p.A. in the execution of the sale to CVC

Milan, 10 December 2018 – Pedersoli Studio Legale, with a team led by Carlo Pedersoli (Senior Partner), has advised the shareholders of FIMEI S.p.A. in the execution of the sale of their entire shareholding in FIMEI to a consortium of investment funds controlled by CVC Capital Partners.

FIMEI holds approximately 51.8% shares of Recordati S.p.A.. The consideration for the transaction amounted approximately to 3 billion Euro, of which 750 million Euro as long-term subordinated debt securities.

Pedersoli Studio Legale has provided legal assistance with a team composed of Andrea Gandini (Senior Partner), Diego Riva and Csaba Davide Jákó (Partners), including, in relation to finance issues, Maura Magioncalda (Senior Partner) and Consuelo Citterio (Partner), while Davide Cacchioli (Senior Partner) and Alessandro Bardanzellu (Partner) have advised on antitrust matters. Pedersoli wins “Capital Elite” prize at China Awards sponsored by Fondazione Italia Cina and Class Editori

Pedersoli and the former Chairman of Carige, Castelbarco Albani,in the dispute against the Bank

Milan, 6 December 2018 – Pedersoli Studio Legale has advised the former Chairman of Carige, Mr. Cesare Castelbarco Albani, in the liability action brought against him by the Bank, as well as against the former CEO, Mr. Piero Luigi Montani, of the American fund Apollo and the insurance group Amissima.

The requests of Carige, which claimed for a compensation equal to 1.25 billion Euro, have been completely rejected by the Court of Genova, which ordered the Bank to refund legal expenses in an amount of approximately 1.5 million Euro.

The disputed related, on one hand, to the sale of the two insurance companies Carige Vita Nuova and Carige Assicurazioni to Apollo fund and, on the other side, the proposal of Apollo fund to acquire an NPL portfolio of the Bank and to acquire the control of the financial institution itself.

Pedersoli and Weigmann with Montalenti and Cagnasso in the transactions between Banca CR Asti and the Foundations Cassa di Risparmio di Biella and Cassa di Risparmio di Vercelli

Milan, 3 December 2018 – Pedersoli Studio Legale has advised Banca di Asti in the negotiation of a framework agreement as to the acquisition by Banca di Asti of the shareholdings held in the above mentioned Foundations in the subsidiary Biverbanca and the participation of the two Foundations into the share capital of Banca di Asti.

The transaction, which will allow Banca di Asti to hold 100% share capital of Biverbanca, sets forth the contribution in Banca di Asti of all Biverbanca shares held by the Foundations (equal to 39.58% of Biverbanca) against a share capital increase granted to the Foundations which, upon completion of the transaction, will be 15.28% held by Banca di Asti.

CR Biella Foundation and CR Vercelli Foundation will also enter into a shareholders’ agreement with Cassa di Risparmio di Asti Foundation.

The execution of the transaction, subject, inter alia, to the requited clearances, is expected by April 2019.

Ambienta acquires AromataGroup: all the law firms involved

Milan, 21 November 2018 – Ambienta SGR, Europe’s largest environmental sustainability focused private equity fund, has completed the acquisition of AromataGroup, a leading manufacturer and supplier of natural flavours, extracts and natural colours used in the food & beverage, pharmaceutical, nutraceutical and cosmetics sectors.

AromataGroup, based in Bresso, has been established in 2011 as a long-standing tradition group of companies and including Variati Aromi, Select Alimenta, Emans Derivati Aromatici and Florio Colori. The group currently owns three production facilities in the North of Italy and it totals 120 employees, a portfolio of more than 5,500 referees and 1,200 customers in 50 different countries. As of today, approximately 60% of AromataGroup’s turnover originates from natural flavours and colours field and it is increasingly growing due to an increase in the demand fostered by the stricter US and European regulation framework in addition to the deeper awareness and demand of the end-user.  In 2018 the group will achieve a turnover equal to 30 million Euro and an EBITDA of 5 million Euro.

The investment in AromataGroup marks the start of the investment program of Ambienta III private equity fund, which has acquired a portfolio of 635 million Euro as of the end of May.

Milan, 20 November 2018 – Pedersoli Studio Legale has advised the historic shareholders of Gimel S.r.l, a company based in Putignano (Bari), specialised in the production of children’s clothing for the major fashion brands, and the managing director Alberto Dalena, in the sale of shareholdings equal to 70% share capital of the company to a group of investors organised in club deal by ItalGlobal Partners S.r.l., a company founded by Ruggero Jenna and Francesco Sala, focused in the organisation of club deals addressed to SMEs.

2nd AmCham Italy Advocacy Conference: Antonio Pedersoli presents the results of the M&A Working Group of which he is Chairman

Milan, 18 October 2018 – The second edition of the Conference focusing on the Advocacy activity of the American Chamber of Commerce in Italy took place this morning at Palazzo Turati.

During the event, the Committees and the Working Groups, created with the purpose of periodically drafting and submitting positions, ideas and solutions aiming at the improvement of business climate of Italy and the increase of our Country’s attractiveness towards foreign investors, explained their outcomes.

Antonio Pedersoli, Equity Partner at Pedersoli Studio Legale, has attended presenting the activities carried out during the first year of the Working Group focusing on M&A, of which he is Chairman.

The M&A Working Group performs its activity through an Observatory created to monitor the development of the deals flow between Italy and the United States, both on the basis of an analysis of trends in latest years and the identification of the main current and future trends through qualitative and quantitative assessments, also evaluating post-investment effects for the whole industry and economic area.

The results and targets in the M&A sector shall be presented in early 2019.
