Pedersoli in the composition with creditors of Selfitalia

Pedersoli Studio Legale, with a team led by Equity Partners Alessandra Giovetti and Andrea Gandini, has advised Selfitalia S.r.l. – a company operating in the distribution of DYI products, present over the Italian territory with 29 retail stores and more than 600 employees and having liabilities of over 120 million euro – in the procedure of composition with creditors on business continuity.

In particular, Pedersoli Studio Legale has advised the Company in drafting the relevant debt restructuring plan and negotiating the irrevocable offers, according to which the Court of Turin has arranged – already under procedure of pre-composition with creditors and pursuant to art. 163 bis of Bankruptcy Law – a public competitive tender aimed at identifying a guarantor of the whole business unit, including all relevant employees. The transaction has been successfully executed with the admittance of Selfitalia to the said procedure.

Pedersoli team has involved also Jacopo Macchia (Senior Associate) as to bankruptcy and commercial law issues. The debt restructuring plan has been certified by Riccardo Ranalli. The Company has been advised by KPMG as advisor entrusted with the drafting of the business plan and the assessment of the offers, with a team composed of Marco Brugola (Associate Partner) and Federico Scaravelli (Manager). Maurizio Gili has acted as insolvency advisor, while Envent as financial advisor.

Pedersoli in the acquisition of Selcom

Milan, 4 May 2017 – Pedersoli Studio Legale has advised Avenue Capital Group and Europa Investimenti S.p.A. in the acquisition, through an SPV, of the group Selcom Elettronica S.p.A. and the shareholding in Selcom Electronics (Shanghai) Co. Ltd. As a result of a competitive process in the context of the creditors’ composition of Selcom Elettronica S.p.A. in an amount equal to 30.7 million Euro. The transaction closing is expected in June.

Pedersoli Studio Legale has advised the purchasers with a team composed of Marcello Magro (Equity Partner) and Marco Molineris (Senior Associate) as to corporate M&A aspects and Alessandra Giovetti (Equity Partner) and Jacopo Macchia (Associate) as to insolvency matters.

Pedersoli with the banks in the agreements with Poligrafici and Monrif

Milan, 21 April 2017 – Pedersoli Studio Legale, represented by Maura Magioncalda (Equity Partner) and Alessandra De Cantellis (Partner), has advised Intesa Sanpaolo Group, Banco BPM, UniCredit, MPS, UBI Banca and BPER in the negotiation and execution of a syndicated loan agreement in an overall amount of 49 million Euro entered into, inter alia, by Poligrafici Editoriale S.p.A. and Poligrafici Printing S.p.A., companies controlled by Monrif S.p.A.. The transaction entailed also the termination of the mid-long term debt restructuring agreement and acknowledgement of short-term credit facilities, which would have duly expired on 31 December 2017.

Pedersoli Studio Legale, with the same team, has also advised the lenders in the negotiation of the amendment to the restructuring agreement entered into by the latter with Monrif S.p.A. and the controlled company EGA S.r.l..

Monrif S.p.A., Poligrafici Editoriale S.p.A. and the other companies of the group have been advised by Eidos Partners, with a Corporate Finance team led by Simone Dragone, as financial advisor and Nctm Studio Legale, represented by Giuliano Lanzavecchia, as legal counsels.

De Nora transfers its shareholding to Blackstone

Milan, 13 April 2017 – Pedersoli Studio Legale with a team led by Carlo Pedersoli and Alessandro Marena (Equity Partners), with Andrea Faoro (Partner), has advised De Nora family and the company in the transfer of a shareholding of Industrie De Nora S.p.A., a worldwide leading company in the design, manufacturing and supply of electrochemical technologies for water treatment to Blackstone through funds managed by Blackstone Tactical Opportunities.

The closing of the transaction is expected in the forthcoming months. With manufacturing facilities in the United States of America, in South America, in Europa and Asia, Industrie De Nora S.p.A. has an international approach and it is oriented to wide-ranging and constantly growing customers.

Pedersoli in the debt restructuring of Malvestiti

Milan, 5 April 2017 – Pedersoli Studio Legale, with a team composed of Maura Magioncalda (Equity Partner) Alessandra De Cantellis (Partner) and Nicola Nocerino, has advised the banks and Unicredit Leasing, in the drafting and negotiation of the agreements relating to the financial debt restructuring of Malvestiti Group.

The transaction, relating to an overall indebtedness of approximately 220 million Euro, has been structured by executing (i) an agreement pursuant to art. 182-bis of the Italian Bankruptcy Law between T.T. Holding S.p.A. under liquidation and its creditors, already approved by the Court of Busto Arsizio, (ii) a debt restructuring agreement according to a certified plan according to art. 67, paragraph III, letter d) of the Italian Bankruptcy Law between Immobiliare Emmegi Due S.p.A. and its creditors and (iii) a waiver to a previous debt restructuring agreement, entered into, in addition to the holding company, by the main subsidiaries with the relevant creditors; while (iv) two subsidiaries controlled by T.T. Holding S.p.A. under liquidation (Volkswagen- and Seat-branded dealers) have started independent compositions with creditors pursuant to art. 160 and subsequent of the Italian Bankruptcy Law for winding-up.

This transaction will allow Malvestiti Group to repay its existing financial indebtedness through the appreciation of its real estate assets.
