Farmaè S.p.A., a company listed at AIM of the Italian Stock Exchange, leader in Italy in the e-retailing of health and wellness products, has entered into a binding framework agreement for the acquisition of AmicaFarmacia S.r.l..

The integration transaction of AmicaFarmacia in Farmaè is aimed at creating a leading distribution group in Italy for over-the-counter drugs and health and wellness products, according to an omnichannel philosophy, able to meet the new consumer needs.

Farmaè S.p.A. has been advised by Pedersoli Studio Legale for legal aspects with a team led by Alessandro Marena, including Elisa Bertoni, Edoardo Augusto Bononi and Alice Paini, while capital market issues have been managed by Francesca Leverone.

Farmaè S.p.A. has been also assisted by Deloitte with a team led by Davide Bertoia (partner) for accounting aspects, involving Gabriele Arioli (partner), Paolo Cornago and Marco Manfredi (managers), while tax matters have been managed by Giorgio Orlandini (partner).

Marco Di Filippo and MDF Holding have been counselled by Studio Legale Gattai, Minoli & Partners, with a team composed of Gerardo Gabrielli (partner), with the support from Carolina Gattai (senior associate) and Edoardo Pistone (associate).
