Pedersoli Studio Legale has advised Riello Investimenti Partners SGR S.p.A. in the acquisition transaction of a 65% in Garmont International S.r.l., a company specialising in the manufacture and marketing of high-end footwear and accessories in the “outdoor” (mountaineering, trekking, climbing, backpacking and trail running) and “tactical” (boots, military style) segments.

The remaining 35% share capital will be divided between Mr. Pierangelo Bressan (30%), the current President and CEO, maintaining its executive role, and Mr. Terry Urio (5%), who will continue to act as CFO.

The acquisition has been executed by Italian Strategy Private Equity (ISPE), the third private equity fund managed by the AMC.

Pedersoli has advised the purchaser with a team led by Andrea Faoro (partner) with the support of Edoardo Augusto Bononi and Alessandro Passanisi (associates).

Orrick has assisted MPS Capital Services Banca per le Imprese S.p.A. in the aspects relating to the financing with a team composed of Marina Balzano (partner), Giulio Asquini (senior associate) and Francesco Pietro Rizzello (trainee).

DC Advisory, in the person of Alberto Vigo (partner) has provided assistance on M&A aspects.

The purchaser has been supported as to the finance and tax matters by Deloitte & Touche in the persons of Davide Ganzer and Valentina Santini (partners) with the support of Roland Berger represented by Francesco Campagna (partner).
