Enel S.p.A., through the fully owned company Enel X S.r.l., and Intesa Sanpaolo S.p.A., through its subsidiary Banca 5 S.p.A., have completed the acquisition from Schumann Investments S.A., a company controlled by the international private equity fund CVC Capital Partners Fund VI, of 70% corporate capital of Mooney Group S.p.A., a fintech company operating in the filed of proximity banking and payments sector. In particular, after having obtained the necessary administrative clearances, Enel X has acquired 50% of Mooney’s corporate capital, while Banca 5, which already owned 30%, increased its shareholding to 50%, thus resulting in the joint control of Mooney by both parties.
The in-house team at Enel X was coordinated by Ludovica Parodi Borgia and composed of Francesca Marchettini and Daniela D’Alessandro, as well as Paolo Chiricozzi, for antitrust aspects, who acted with the support of BonelliErede in the person of Gianfranco Veneziano (Partner), member of Private Equity focus team, Francesca Peruzzi (Senior Associate), Giulia Romagnoni (Associate) and Riccardo Filetto for corporate law matters, including Massimo Merola (Partner), Omar Diaz (Managing Associate) and Gianluca Vassallo (Associate), with the cooperation of Filippo Bisanti and Marina Dell’Utri, for antitrust aspects, as well as Federico Vezzani (Partner) and Cristiana Ferrari (Associate) for regulatory profiles.
