Ferretti Group, one of the world leaders in the design and construction of motor yachts and pleasure boats currently listed on the Hong Kong Stock Exchange, has confirmed its intention to execute a dual listing on Euronext Milan, a regulated market organised and managed by Borsa Italiana S.p.A.. An offer by Ferretti International Holding S.p.A. of the existing ordinary shares, including the over-allotment option, to support the liquidity of the shares on Euronext Milan, is planned.
For the purpose of the listing, the selling shareholder – which currently holds approximately 63.75% of the Company’s share capital – identified a maximum amount of shares to be sold equal to 28.75% of the Company’s existing share capital, including the over-allotment option.
In the context of the offer, Goldman Sachs International, J.P. Morgan and UniCredit act as joint global coordinators and joint bookrunners. Equita and Berenberg act as joint bookrunners. UniCredit acts also as listing agent. CICC acts as financial advisor.
By listing on Euronext Milan, the luxury yacht company aims at broadening the structure of its shareholder base in regions such as Europe, the Middle East and the Americas, which are major markets. On 20 June 2023, the Company obtained from Borsa Italiana the measure of admission of its ordinary shares to be listed on Euronext Milan. The offer period to qualified and institutional investors is expected to begin on 21 and end on 22 June 2023 unless extension or early termination, which will be announced by means of a notice published on the Company’s website. The commencement of trading of the Company’s shares on Euronext Milan, which is expected on 27 June 2023, remains subject to obtaining the necessary authorisations from the National Commission for Companies and the Stock Exchange (CONSOB) and Borsa Italiana, including the measure approving the prospectus and the measure of admission to trading.
