Pedersoli Studio Legale has advised Anthilia Capital Partners SGR in the authorisation process by the supervisory authority for the management and incorporation of the fund named “Anthilia ELTIF – Economia Reale Italia”, a long-term European fund aimed at investing in SMEs to support the Italian business, in compliance with the regulation on Alternative PIRs.
In line with the European provisions, the Fund may invest both in debt and equity financial instruments, as well as in receivables of target companies with a view to smart, sustainable and inclusive growth of the Italian economy in the field of production and distribution of goods and services and representing one of the first ELTIF in the Italian market compliant with the regulation on alternative PIRs, shall allow its members to benefit from the relevant tax benefits. After obtaining the authorisation by the Bank of Italy to the management of ELTIF and the relevant filing with the specific section in the asset management companies’ register, the AMC has recently obtained also the clearance by Consob for trading the Fund’s shares.
The first subscription period has been launched with a maximum term of 3 months which can be extended up to 18 months. The AMC, supported by certain placement experts, to the purpose of launching the ELTIF has a first target of 20 million up to 250 million. The offer of the Fund’s shares is made to professional and retail investors.
