The law firms involved in the acquisition by Motortec and an industrial partner of 100% corporate capital of Art S.p.A.

Art S.p.A., a leading Italian supplier of infotainment systems for luxury cars, has strengthened its market position in the context of the acquisition by its shareholder Motortec S.p.A. of interests representing the majority of Art S.p.A. corporate capital and the involvement of the new shareholder Avio S.p.A., thus pursuing its path of growth and development of technological solutions for leading luxury sports car manufacturers. At the same time, Art S.p.A. transferred to Avio S.p.A. its interest in Temis S.r.l., a member of the group operating in the supply of services and products in the aerospace sector.

In the context of the transaction, Motortec S.p.A., private investment vehicle promoted by The Equity Club S.r.l. and owned by some of leading business Italian families and Mediobanca, increased its interest in the share capital of Art S.p.A., thus holding shares representing 95% corporate capital. Selling shareholders also reinvested in the vehicle, which will continue to support the company’s growth path.

Avio S.p.A., an Italian aerospace company listed on the Euronext Star segment, becomes a minority shareholder with an interest equal to 5%.

Avio S.p.A. acted in the transaction with an in-house team of legal counsels led by Giorgio Martellino (general counsel) and the cooperation of Letizia Macrì (deputy legal affairs).

De Candia Associati advised The Equity Club S.r.l. and Motortec S.p.A. in relation to tax aspects.

Studio Legale Mazzi and Studio Legale Associato degli Avvocati Marco Lodovichi e Nicolò Lodovichi acted as legal advisors of the selling shareholders while Studio BDDP and Studio Rossi Giuliani managed tax aspects.
