ABC Capital Partners, advisory company co-founded by Dario Albarello, Francesco Baroncelli and Alessandro Cozzi, has supported, as exclusive advisor of fund Metrika Tech, the entrepreneur Luca Savoldi to implement growth of Abissi, a company operating in the cybersecurity industry based in Cagliari.

Main target of the transaction is supporting the founder Luca Savoldi in the forthcoming development phase of the company, through a process of strategic and business growth, as well as integration with other operators of the same market segment.

Luca Savoldi, CEO of Abissi, shall remain a minority shareholder with an interest equal to 20% of the corporate capital.

Abinsula S.r.l., a reference Italian player in embedded, IoT, web and mobile solutions specialising in the automotive industry and part of the international ELITE network of Borsa Italiana (Euronext Group), in the transaction transfers the majority, while remaining in the shareholding structure with an interest equal to 10% with a view to industrial partnership.

ABC Capital Partners and Metrika Tech fund were advised by Pedersoli Studio Legale with a team composed of Marcello Magro (equity partner) and Fabrizio Grasso (counsel) together with Riccardo Di Laura (trainee).

Spada Partners has managed the financial due diligence with Antonio Zecca (partner) with the support from Andrea Moretta and Francesco Cannatelli (associates) and tax due diligence with a team composed of Fabrizio Gnecco (partner) and Gianluca Colarossi (associate).

Norton Rose Fulbright assisted Metrika Tech fund with reference to legal due diligence, with a team composed of Tiziana Del Prete (partner), Fabrizio Zecca (senior associate) and Francesco Cimmarrusti (trainee).

Additional advisors in the transactions were Ambrosetti for the ESG due diligence and NetConsulting Cube for the business due diligence. The sellers were advised by Apply Consulting and lawyer Massimo Simbula.
